About these terms
These terms apply when Simporter Ltd quotes for or supplies goods to your business, or runs a sourcing job for you. Anything we agree in writing for a specific order takes priority over this page.
Trade customers only
We only work with businesses buying stock to resell or use in their business. We do not sell to consumers. By placing an order you confirm you are buying in the course of a business.
Two ways we work
Landed-price supply
We buy the goods from the supplier and sell them to you at the price per unit in our quote. That price includes the delivery and import duty shown on the quote. You contract with us, not the supplier.
Sourcing service
We find and check suppliers, and manage the order on your behalf. You contract with the supplier directly and pay them for the goods. You pay us the fee set out in our quote for the sourcing work.
Review: Confirm the fee basis for the sourcing service (fixed fee, percentage of order value, or both) and when it is payable.
Quotes and orders
A quote is based on the product, the quantity and the specification you give us. If any of these change, the price may change too. Each quote states how long it is valid.
Minimum order quantities are set by each supplier. We confirm them in the quote. An order is accepted once we confirm it in writing.
Prices and VAT
Prices are quoted excluding VAT. Where VAT applies, it is added to our invoice.
Payment
On landed-price supply, payment terms are shown on each quote and invoice. We place the order with the supplier once the agreed payment is received.
On the sourcing service, you pay the supplier for the goods directly, on the terms you agree with them. Our fee is invoiced as set out in our quote.
Review: Confirm deposit and balance terms, accepted payment methods and whether any credit accounts are offered.
Ownership and risk
On landed-price supply, the goods stay ours until you have paid for them in full. Risk passes to you on delivery.
Faulty or short goods
Check deliveries promptly. Tell us in writing about any fault or shortage as soon as possible after delivery, with photos.
On landed-price supply, we will put things right with a repair, replacement or credit where the goods do not match the specification in our quote. On the sourcing service, your contract is with the supplier. We will help you press the claim.
Our liability
We carry out our work with reasonable skill and care. We are not liable for loss of profit or indirect loss. Nothing here limits liability for death or personal injury caused by negligence, or for fraud.
Review: Agree a liability cap with a solicitor. It should match Simporter's insurance cover.
Law
These terms are governed by the law of England and Wales. The courts of England and Wales have exclusive jurisdiction over any dispute.
Review: A solicitor should also add clauses on delivery dates and lead times, cancellation, force majeure, and a fixed deadline for reporting faults.
